AudioDavid Meredith: My name is David Meredith and I’m your host for this evening’s international edition of the Inc Plan Review Broadcast. Our guest is

Jacques Luben, Editor of the review. Good evening Jacques.

Jacques Luben: Good evening.

David Meredith: Earlier today you told me that Inc Plan USA has recently witnessed a sharp increase in the number of non US business owners who are forming business entities in Delaware, Nevada and several other business friendly states in this country. In your experience what are the primary reasons that this trend is growing so rapidly?

Jacques Luben: There’s a recognition on the part of business owners around the world that the US is still the largest consumer market, it’s the largest economic market to do business and there’s a benefit of prestige and of potential profit to register a company in the United States with an address in the United States in order to spread the credibility and viability of the businesses that already exist elsewhere. A perfect example of that is an internet type of company where the owners of the company might be operating out of Europe and doing substantial business. Now they want to reach the English speaking market in Britain, the United States, Australia, Canada and so on. So what they do is they set up a company in the United States with a US address, a US phone number and they can proceed on that basis to impress potential clients or existing customers with the fact that they are internet based in the United States.

David Meredith: Is it just internet companies that are contacting Inc Plan USA?

Jacques Luben: No, we have a wide variety of clients who use our services, another example of the type of clients that we encounter are successful companies that are selling goods and services in India or France or some other place and they’ve decided that they want to try and sell into the US market. To the extent that they are in a different time zone usually from the United States, they want to be able to have a company here that operates in US hours with all that that entails a phone number, a fax number and the ability to respond to American customers during US hours, that’s another prime motivation. A third type of customer we have are investors from around the world who want to buy property in the United States because the dollar is relatively weak compared to let’s say the Euro or the British Pound. Their interest might be to buy real estate in Florida or in some other place and what they’re doing there is they’re setting up limited liability companies that are perfectly structured to hold real estate, receive rental income and operate as independent companies that belong to offshore clients. So those are three examples of the kinds of clients that we deal with every day.

Jacques Luben: And Delaware has very favorable tax laws, in conjunction with companies that earn what’s called passive income in the United States, so for example if you have an invention or if you’re selling a book where you have copyright royalties or any other type of activity like that, it makes a lot of sense to receive that income in a Delaware company with a bank account that is tied to that company and in the end you will save a great deal of money on taxes.

Stefan Stewart: Well that sounds great, is it easy to set up a company in the United States?

Jacques Luben: Yes easier than in most places because the US for example does not require a company to have minimum amount of capital when the entity is formed. In addition to which, the procedure for registering a company is fairly simple, it’s something that we’ve obviously mastered because we’ve opened thousands of companies and there’s a certain protocol that’s involved. You have to give us the name of the company, you have to let us know who the directors are gonna be, you have to tell us where all the documents and all the paperwork are gonna go and then we can proceed from there. Things that seem very difficult and mysterious from 5000 miles away are very simple for us because that’s exactly what we do.

Stefan Stewart: What would be my first step if I wanted to start a company?

Jacques Luben: Well usually we get a phone call or an email from the potential business owner because one of the things we pride ourselves on is that we don’t have simple solutions that apply to all clients. Everything we do is customized and we take the time to talk to the client, to determine what it is the client needs, what the appropriate vehicle is for that client. We think it over and we come back, we consult and we make a recommendation.

Stefan Stewart: Well Jacques that sounds terrific but what would prompt me to contact you about this and what would be the best way to do it?

Jacques Luben: Normally by the time you’ve contacted us, the idea of doing business in the United States is something that you’ve given a great deal of thought about before. It’s not as scary as you think, what you just do is you simply send us an email, pick up the phone, call us and just tell us about your particular set of needs, what your ambitions are and let’s just have a nice open discussion about it to see if registering a company in the United States is actually appropriate to what it is you’re trying to accomplish. The fact of the matter is that we don’t necessarily think that every person who contacts us is a good candidate for this type of activity. But we do know that many opportunities have been lost by people who felt that going into the US market was too troublesome and too ambitious. Our goal is to be consultants and to make your life easier.
