I operate an E-Commerce company from outside the US. How can I accept credit card payments from my customers? (Michel S. of Grenoble, France)
Accepting credit cards for payment, is an absolute necessity for any e-commerce business, requires opening a merchant service account. Providers of merchant services typically prefer to conduct business with customers that have and maintain legally established US companies with corresponding bank accounts. In summary, merchant service providers value a substantive presence in the US as more reliable and “serious” for their purposes. Inc. Plan (USA) can help you set up a business bank account in order to gain access to merchant services. Click here to learn more.
I understand that Delaware is considered an excellent jurisdiction to register a new business. How do I decide if it is right for the new company that I plan to start later this year? (Carl M. of Modesto, CA)
It depends on the type of business you wish to conduct. E-Commerce companies and businesses that sell consulting services, licensing rights, intellectual property, etc… should normally look to Delaware incorporation because of Director privacy and no corporate income tax for non-resident companies.
Companies that establish a “brick and mortar “ presence (eg. a boutique or restaurant) should be incorporated in the state in which they physically operate. These companies are required to withhold payroll taxes to the states in which they engage employees. Additionally, such businesses, with a physical presence often require state, county and municipal licenses in order to operate .
A third option that is increasingly popular is incorporating in Delaware in order to take advantage of the “corporate friendly” legal structure and THEN qualifying in the state where the business actually operates. A business following this route often has the best of both worlds…the multiple benefits of a Delaware company and the ability to legally meet all requirements of the physical home state.
